Coaching Service Agreement

INTRODUCTION
This Coaching Service Agreement was prepared to outline the expectations and guarantees that all clients must agree to follow when engaging with Scientech Resumes LLC in a coaching program or service. These terms will be applied fully, and by engaging with Scientech Resumes (known hereafter as “Scientech” or “we”), you (hereby referred to as “Client” or “you”) agree to accept the Coaching Service Agreement as written here and on Scientech’s website and continuing in effect until termination and/or completion of services. Failure to read the Coaching Service Agreement in their entirety does not authorize a waiver of this Coaching Service Agreement or its application.

Scientech requires an initial, free 20-minute consultation with all prospective clients to determine a Client’s job search challenges, career goals, and overall fit between Scientech and Client (person making payment to Scientech) before any coaching engagement can occur. All coaching services are custom-quoted after the free 20-minute consultation session. Scientech provides individual quotes on a sliding scale and accounts for a Client’s current career stage, desired direction, target salary, services needed, and the overall scope and complexity of work.

Coaching engagements begin once payment (in full, upfront, or through a payment plan option) is arranged and the electronic Coaching Service Agreement has been signed and returned to Scientech. All client payments are processed through PayPal, and all major debit/credit cards are accepted. Pricing may vary and is subject to change at any time.

Introduction:

Coaching is a partnership (defined as an alliance, not a legal business partnership) between the Coach and the Client in a thought-provoking, creative process that inspires the Client to maximize personal and professional potential in job search, networking, interviewing, and salary negotiation. It is designed to facilitate the development of personal and professional goals and the creation and execution of a strategy and/or plan to achieve those goals.

Upon entering this agreement with Scientech, the Client understands and acknowledges that coaching is a creative and collaborative process that depends on the Client’s active participation. Since providing coaching is time-consuming, and Scientech cannot regain time lost in preparing for and facilitating coaching sessions, no refunds will be given except as outlined in these Terms of Service.

Coach-Client Relationship:

Scientech agrees to objectively evaluate the Client’s career goals on job search, networking, interview preparation, and salary negotiation strategy and also agrees to share and advise on relevant tools, strategies, and opportunities to create a systematic, efficient plan to meet objectives. Scientech will serve as a guide to help the Client increase clarity, productivity, and confidence in bringing out the Client’s best potential and performance and act as a sounding board for brainstorming and sourcing ideas to meet desired outcomes. Any information that Client shares throughout the engagement is kept confidential and never shared.

Confidential information does not include information that (a) was in Scientech’s possession prior to its being furnished by the Client; (b) is generally known to the public or in the Client’s industry; (c) is obtained by Scientech from a third party, without breach of any obligation to the Client; (d) is independently developed by Scientech without use of or reference to the Client’s confidential information; or (e) Scientech is required by statute, lawfully issued subpoena, or by court order to disclose; (f) is disclosed to Scientech and as a result of such disclosure, Scientech reasonably believes there to be an imminent or likely risk of danger or harm to the Client or others; and (g) involves illegal activity. The Client also acknowledges his or her continuing obligation to raise any confidentiality questions or concerns with Scientech in a timely manner.

The Client is solely responsible for creating and implementing his/her own physical, mental, and emotional well-being, decisions, choices, actions, and results arising out of, or resulting from, the coaching relationship and his/her coaching calls and interactions with Scientech. As such, the Client agrees that the Coach is not and will not be liable or responsible for any actions or inaction or any direct or indirect result of any services provided by Scientech.

The Client understands that coaching is not therapy, does not substitute for therapy if needed, and does not prevent, cure, or treat any mental disorder or medical disease. Client also acknowledges that coaching does not involve the diagnosis or treatment of mental disorders as defined by the American Psychiatric Association and that coaching is not to be used as a substitute for counseling, psychotherapy, psychoanalysis, mental health care, substance abuse treatment, or other professional advice by legal, medical, or other qualified professionals and that it is the Client’s exclusive responsibility to seek such independent professional guidance as needed. If Client is currently under the care of a mental health professional, it is recommended that the Client promptly inform the mental health care provider of the nature and extent of the coaching relationship agreed upon by the Client and the Coach.

Client acknowledges that coaching is a comprehensive process that may involve different areas of his/her life, including work, finances, health, relationships, education, and recreation. The Client agrees that deciding how to handle these issues, incorporating coaching principles into those areas, and implementing choices is exclusively the Client’s responsibility.

The Client understands that in order to enhance the coaching relationship, the Client agrees to communicate honestly, be open to feedback and assistance, and create the time and energy to participate fully in the program.

Coaching Packages:

Scientech provides various coaching packages focused on job search strategy, LinkedIn networking, interview preparation, and salary negotiation to support Clients’ career paths. Coaching packages vary in the number of sessions based on Client’s specific specific situation, which is determined on the 20-minute complimentary consultation call.

All coaching sessions are approximately 45-60 minutes long and are conducted virtually over Zoom. Scientech will be available to Client by e-mail and voicemail between scheduled meetings. Scientech may also be available for additional time, per Client’s request on an hourly basis of $197 (1-hour minimum), to engage in other Client-related services outside the defined coaching service agreement.

Sessions that exceed the scheduled time by more than 10 minutes may result in additional fees.

Session Scheduling:

The time of each session will be determined by the Client and Scientech’s availability.

The Client will schedule all sessions via a Dubsado link provided by Scientech. Upon scheduling a session, Client will receive a confirmation link with details for joining the session via Zoom or phone. Client will also receive reminder notifications by email 3 days, 1 day, and 1 hour before the session takes place.

Session Homework:

All coaching engagements will involve homework assignments to be completed before each session.  These assignments are a vital part of the coaching process and are designed to provide a structure and expand upon each topic we will cover in our sessions.

While Scientech will work with Client to develop insight during our sessions, Client is expected to practice the skills and apply the insights in the “real world.” Scientech will provide handouts, worksheets, and e-guides to supplement the Client coaching journey. The more work the Client does outside of the coaching engagement, the better the results will be.

Session Recording:

Your coaching sessions may, at times, be recorded. Scientech uses such recordings to provide Client with valuable session feedback on a particular topic and for professional training and development purposes only. Recordings are never shared with outside parties.

Scientech will always ask for verbal consent to record before each session. Client may also request a copy of any of our session recordings. If Client prefers that none of the sessions be recorded, you may advise Scientech accordingly.

Session Delays & Serial Rescheduling:

Scientech maintains a busy client schedule comprising both resume writing and coaching engagements. All engagements, including project deadlines, client sessions, individual consultations, etc., are calendared. Therefore, it is critical that the Client shows up on time and be prepared to fully participate in the coaching process, barring any mutually agreed arrangements made between Scientech and Client.

Client will receive email reminder notifications 3 days, 1 day, and 1 hour before the scheduled session. Rescheduling or canceling sessions is easily done with appropriate notice using the links provided in the email reminder notifications. Appointment changes or cancellations must be made within 24 hours of the session, as this takes away appointment time slots that could be used by other clients who earnestly need and want Scientech’s help.

Scientech understands that personal emergencies and unforeseen circumstances can surface that may prevent Client from keeping the scheduled appointment time. If Client needs to reschedule at the last minute, you may do so for the first time at no charge.

Failure to reschedule or cancel an appointment within 24 hours of the session beyond the first time grace period will result in:

  • Second Time – Client will incur a $97 fee. No rescheduling will occur until the fee is compensated.
  • Third Time – Client will lose a session from the package. If Client wishes to regain the lost session, a $197 fee will be incurred.

Additional fees will be assessed for session no-shows (without appropriate rescheduling or cancellation notice) or late arrivals:

  • Session No Show

Failure to attend a scheduled coaching session will result in a $197 no-show fee to compensate Scientech for session preparation time and for taking away a time slot from another client. No rescheduling will occur until the no-show fee is compensated.

  • Session Late Arrival

Arriving more than 15 minutes late to the session without notice or rescheduling will result in a $97 late fee. The session will not be extended beyond the established timeframe due to lateness. No further sessions will occur until the fee is compensated.

Payment & Refund Policies:

Coaching packages are quoted on a sliding scale and consider an individual’s current career stage, desired direction, and overall complexity of the work involved. Scientech offers multiple payment options to provide both flexibility and affordability, including:

  • In full, upfront – Payments are processed through PayPal. All major debit/credit cards are accepted.

  • 2 installments – All installments must be paid on time before scheduling new sessions.

  • PayPal Credit – A flexible payment plan option where you can spread out payments for up to 6 months with zero interest. This option requires a free PayPal account or existing login credentials. It is currently only available to US-based clients and is dependent on credit history.

If payments are not rendered within the agreed timeline, all coaching work will cease until payment is made.

Cancellation & Refund:

There are absolutely no refunds for coaching. Scientech invests a lot of time, energy, thought, and heart in preparing for and being present for sessions and cannot reclaim lost time spent with a Client.

Scientech does not guarantee results in a coaching relationship because the results depend on the Client’s openness to the coaching process and the willingness to invest time and energy into applying the skills, knowledge, and strategies to the real world.

Once payment is made, should you wish to cancel a project, the following penalties will be assessed:

  • Cancellation after the coaching program is paid for but before coaching has begun: a full refund will be made minus any transaction fees AND a 10% cancellation fee.

  • Cancellation after coaching has begun but before sessions are completed: Scientech will retain the cost of the number of sessions used and refund the difference in unused sessions minus any transaction fees.

  • Cancellation after all coaching sessions are completed: 100% of the total investment is retained by Scientech.

Since Scientech’s establishment, we have not had to issue any coaching refunds due to Client dissatisfaction with work rendered. Scientech is well aware of chronic chargeback clients within the career services industry and files and archives every email communication and relevant documentation detailing the engagement.

If Client still demands money back and goes through their credit card company, we are well-prepared to show documentation and evidence of work rendered. Unless there are extenuating circumstances, refunds will not occur.

Lapsed Coaching Services:

Scientech understands that personal emergencies and life circumstances may prevent Client from starting or even completing the coaching program within the appropriate timeline. If Client pays for coaching services and fails to start the program or schedule the initial session within two (2) months of the initial payment, Client will forfeit any payments received, and no refunds will be issued. After one (1) year from Client’s initial payment, Client will be required to contract for new and existing coaching services as coaching program offerings and pricing are subject to change.

Privacy Policy:

Scientech is committed to honoring each Client’s personal privacy and information collected regarding performance reviews, salary information, conditions of previous employment and/or termination, and terms of discharge from any and all previous employment.

Any documents or conversations between Scientech and Client are never shared. Client reserves the right to unsubscribe from any of Scientech’s subscriptions or newsletters. Additionally, if Client clicks on a resource link from our website, Scientech cannot guarantee or be responsible for their content or privacy policies.

Scientech utilizes other parties to provide specific services. When Client enlists Scientech’s services, we will share the names of other information necessary for the third party to provide these services. These parties are not allowed to use personally identifiable information except for the purpose of supporting the resume writing and coaching engagement. Invoicing and payment are processed through PayPal.

Scheduling is processed through Dubsado. Dubsado is also used to collect Client information to schedule appointments and upload and share documents. Google Drive is used to store, back up, and share documents with all clientele. Scientech provides lifetime document storage to all clientele. If Client wishes to opt out of lifetime document storage, he or she may submit a written request to kate@scientechresumes.com.

Google Analytics will be employed to collect data on digital traffic. Grammarly is utilized for editing support. Scientech may run Jobscan reports to aid in tailoring resume content to specific positions of interest. Please be aware that Scientech is not responsible for the content or privacy practices of external sites. Scientech encourages users to be aware when they leave our site and to read the privacy statements of any other site that collects personally identifiable information.

Security Policy:

Scientech takes precautions to protect all Client information. When you submit sensitive information via other websites used for data processing (i.e., PayPal, Google, Dubsado), your information is protected online and offline. Wherever we collect sensitive information (such as credit card data), that information is encrypted and securely transmitted to us. You can verify this by looking for “https” at the beginning of the address on the web pages.

While we use encryption to protect sensitive information transmitted online, we also protect your information offline. Only those who need the information to perform a specific job (i.e., billing or scheduling) are granted access to personally identifiable information. The computers/servers where we store personally identifiable information are kept securely.

Information Collection, Use & Sharing:

Scientech is the sole owner of the information collected on this site. Scientech only has access to/collects information that Client voluntarily gives us via email, web form, or other direct contact. Scientech will never sell or rent this information to anyone. We will use your information to respond to you regarding the reason you contacted us. We will not share your information with any third party outside our organization other than as necessary to fulfill your request (i.e., invoicing, scheduling, sharing resources with you, editing your professional career marketing materials). For information on third parties used by Scientech, see our Privacy Policy section.

As a current or past client, unless you ask us not to, Scientech may contact you via email to provide services, share resources via email or Google Drive, or communicate updates.

Legal Information:

Scientech Resumes uses its professional ability, in good faith, to provide Client with relevant tools, strategies, and advice to help clients improve their job search, interview preparation, networking, and salary negotiation/planning skills to get clients’ interviews. Scientech Resumes cannot guarantee interviews, jobs, or career outcomes as market conditions vary, and we cannot control the effort a client will make in obtaining a job or how the client will behave during the interview process. In addition, Scientech Resumes cannot control the competition in obtaining a position. Finally, at times, employers will decide not to fill advertised positions.

It is incumbent upon the Client to aggressively partake in the job search process, including applying for qualifying positions that Client meets the requirements for. Additionally, Scientech is not responsible for Client’s use or non-use of career-marketing documents or coaching plans.

Scientech Resumes is not liable for any inaccurate, incorrect, or misleading information in the prepared materials, as Client is required to review the materials and approve the entire content before final delivery. Scientech is not responsible for the accuracy or truthfulness of the information provided by Client, nor is Company responsible for consequential damages of any kind that Client may incur from inaccurate documents or statements, edits to documents at Client’s request that coincide with Scientech’s expert recommendations, or while utilizing Scientech’s resume writing services.

Client agrees to hold Scientech Resumes harmless from any such liability. Should Client wish to file suit against Scientech Resumes, the jurisdiction/choice of law shall be in Oregon State, and each party shall bear its own costs in filing suit.

Intellectual Property:

Scientech Resumes owns all content and information posted on Company website. No one may copy, distribute, or use any of the content, including this Coaching Service Agreement, for financial gain without the express consent of the Company. Scientech Resumes reserves the right to update this Coaching Service Agreement at any time, and Client agrees to abide by the Coaching Service Agreement.

Force Majeure:

No party shall be liable or responsible to the other party, nor be deemed to have defaulted under or breached this Coaching Service Agreement, or Contract, for any failure or delay in fulfilling or performing any term of this Contract (except for any obligations to make payments to the other party hereunder), when and to the extent such failure or delay is caused by or results from acts beyond the impacted party’s (“Impacted Party”) control, including, but not limited to, the following force majeure events (“Force Majeure Events”): (a) acts of God; (b) a natural disaster (fires, explosions, earthquakes, hurricane, flooding, storms, explosions, infestations), epidemic, or pandemic; (c) war, invasion, hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil unrest; (d) government order or law; (e) actions, embargoes or blockades in effect on or after the date of this Contract; (f) action by any governmental authority; (g) national or regional emergency; (h) strikes, labor stoppages or slowdowns or other industrial disturbances; and (i) shortage of adequate power or transportation facilities.

The Impacted Party shall give Notice within 5 days of the Force Majeure Event to the other party, stating the period of time the occurrence is expected to continue. The Impacted Party shall use diligent efforts to end the failure or delay and ensure the effects of such Force Majeure Event are minimized. The Impacted Party shall resume the performance of its obligations as soon as reasonably practicable after the removal of the cause. In the event that the Impacted Party’s failure or delay remains uncured for a period of 10 days following Notice given by it, the other party may thereafter terminate this Contract upon Notice.
